Terms of Service

By accessing or using the MentAgent platform at mentagent.ai (the "Service"), operated by MentAgent, Inc. ("MentAgent," "we," "us," or "our"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including individual agents, group administrators, and brokerage teams. These Terms incorporate our Privacy Policy by reference — please review it at mentagent.ai/privacy.

MentAgent is an AI-powered assistant platform designed for licensed real estate professionals. The Service provides configurable AI skills that help agents with day-to-day workflows, including but not limited to:

• Email drafting, triage, and response generation. • Daily briefings and client communication summaries. • Listing description generation. • Showing coordination and calendar management. • Document analysis and offer comparison. • Custom AI skills created by users, groups, or the platform.

The Service uses third-party AI models (currently Anthropic Claude) to generate content. We reserve the right to change underlying AI providers with reasonable notice. We reserve the right to modify, suspend, or discontinue any part of the Service at any time. For material changes, we will provide at least 30 days' notice by email or through the Service.

Certain skills require access to third-party services through OAuth authorization. When you enable a skill that requires an integration, MentAgent will request only the specific permissions (OAuth scopes) necessary for that skill. Currently supported integrations include:

• Google Gmail — for reading emails, generating summaries, and drafting responses. • Google Calendar — for reading events and coordinating showings. • Google Drive — for reading and writing files used by skills you enable (transaction summaries, listing photos, brochures, generated documents).

By authorizing these integrations, you grant MentAgent permission to access the specified data on your behalf. You may revoke access to any integration at any time through your dashboard or through the third-party provider's settings. Revoking access will disable any skills that depend on that integration.

MentAgent's use of Google user data complies with the Google API Services User Data Policy, including the Limited Use requirements. We access, use, store, and share Google user data only as described in our Privacy Policy.

Browser automation. For third-party websites that do not expose an API, MentAgent can optionally drive a hosted browser session (through Browserbase) on your behalf using credentials you store in your account. This feature is provided on a best-effort basis: third-party sites may change their layout, enforce bot-detection, require CAPTCHAs, or otherwise prevent automated access. The assistant's default behavior is to save a draft and hand off to you for the final submit; for sites without a save mechanism, the assistant pauses and requires your explicit approval through an in-app confirmation before any submit-class click. You are responsible for ensuring that your use of browser automation complies with the destination site's terms of service. MentAgent is not liable for actions taken on third-party sites under credentials you have provided, including any consequences of approvals you authorize through the confirmation dialog.

When a skill executes, relevant context from your profile, connected integrations, and skill inputs is sent to a third-party AI model for processing. You acknowledge and agree that:

• Your data is transmitted to and processed by third-party AI providers (currently Anthropic) under their commercial API terms. • Your data is not used by MentAgent or its AI providers to train or fine-tune AI models. • Prompt content and generated outputs are stored in your account as skill outputs and agent logs, subject to the data retention terms in our Privacy Policy.

If you use the Bring Your Own Key (BYOK) feature and provide your own API key, AI requests are made using your key and are subject to your own agreement with the AI provider. You are solely responsible for any charges incurred on your API key. Your API key is stored server-side with encryption and is never exposed to the client application.

You agree not to use the Service to:

• Violate any applicable laws, regulations, or real estate licensing requirements. • Generate misleading, fraudulent, or deceptive content, including false listing information or fabricated property details. • Send unsolicited communications (spam) to clients or prospects. • Misrepresent AI-generated content as human-written when disclosure is required by law or regulation. • Infringe upon the intellectual property or privacy rights of others. • Interfere with or disrupt the Service or its infrastructure. • Attempt to gain unauthorized access to any part of the Service, other users' accounts, or other users' data. • Scrape, crawl, or use automated means to access the Service beyond provided APIs and interfaces. • Circumvent usage limits, plan restrictions, or access controls. • Use the browser-automation feature to scrape copyrighted content at scale, circumvent rate limits or anti-bot measures on third-party sites, or take actions that violate the destination site's terms of service. • Use the Service in a manner that violates fair housing laws or anti-discrimination regulations.

We reserve the right to suspend or terminate accounts that violate these terms.

Our collection, use, and protection of your personal information is governed by our Privacy Policy, available at mentagent.ai/privacy. By using the Service, you consent to the data practices described in the Privacy Policy.

Key points:

• We do not sell your personal information. • We do not use your data to train AI models. • You may request access to, correction of, or deletion of your personal data at any time. • Platform data is stored in the United States. Interaction data is stored in the jurisdiction matching your primary business location. • Authorized MentAgent staff with super-admin permission may temporarily "adopt" your account for support you have requested or for security investigations. These sessions are multi-factor protected, time-boxed to one hour, and logged. See Privacy Policy Section 7 for the full description. • If you are located in the European Union, you have additional rights under the General Data Protection Regulation (GDPR). See our Privacy Policy for details.

MentAgent is currently available to licensed real estate professionals operating in the United States and Canada. We plan to expand to additional jurisdictions over time; users in countries we have not yet enabled can join the waitlist at sign-up.

• Platform infrastructure and stored data reside in the United States (GCP us-west1, Firestore nam5) regardless of your country of business. • Cross-border data transfers (e.g., between Canadian users and U.S. infrastructure, or between either and AI providers based in the United States) are conducted in compliance with applicable data protection laws. • Canadian users: Your use of the Service is subject to PIPEDA and applicable provincial privacy legislation. Data residency in Canada is planned but not yet available; until it ships, Canadian-user interaction data is stored in the United States.

Paid subscription plans, billing-country verification (via Stripe), and regulatory disclosure templates apply to the enabled markets only. Free-tier signup is restricted to the same markets; users elsewhere can join the waitlist to be notified when we expand.

To the maximum extent permitted by applicable law:

• MentAgent shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of revenue, loss of clients, loss of data, or damages arising from reliance on AI-generated content. • MentAgent's total cumulative liability to you for any and all claims arising from or related to the Service shall not exceed the fees you paid to MentAgent in the twelve (12) months preceding the claim. • MentAgent is not liable for actions taken by third-party AI providers, integration providers, or payment processors. • MentAgent is not liable for the accuracy or completeness of AI-generated content, or for any consequences of using such content in real estate transactions.

These limitations apply even if MentAgent has been advised of the possibility of such damages.

You agree to indemnify and hold harmless MentAgent, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from:

• Your use of the Service. • Your violation of these Terms. • Your use or distribution of AI-generated content. • Your violation of any applicable law, regulation, or third-party rights. • Content you share through group features or any future marketplace.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. MentAgent disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant that AI-generated content will be accurate, complete, or suitable for any particular purpose. We do not warrant that the Service will meet your specific requirements or comply with the regulations of your jurisdiction.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in English. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

You agree to resolve disputes with MentAgent on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding against MentAgent.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property or data security.

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you may close your account before the changes take effect. For changes that are not material (e.g., clarifications, formatting), we may update the Terms without prior notice.

• Entire agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and MentAgent regarding the Service. • Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect. • Waiver — Our failure to enforce any provision of these Terms does not constitute a waiver of that provision. • Assignment — You may not assign your rights under these Terms without our prior written consent. MentAgent may assign its rights and obligations without restriction. • Force majeure — MentAgent is not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, government actions, or third-party service outages. • Notices — We may send notices to the email address associated with your account.
